1The Program

1.1Program Description

The Leader Café Club® is an online leadership development experience built on The Café Method™. Each Leader Learning Experience® (LLE) follows a two-week rhythm of personal reflection through The Solo Set™ and facilitated peer dialogue through TLCC Ensemble Sessions™. Content is delivered through our hosted learning platform (LearnWorlds) and is designed to support the leadership growth of working professionals across industries.

The program is educational and developmental in nature. It does not constitute clinical, therapeutic, or mental health services, and no therapist–client or psychologist–patient relationship is formed through participation in The Club.

1.2How the Program Is Delivered

Program content is delivered online through The Leader Café Club® website and the LearnWorlds platform. Depending on the offering you select, this may include self-paced courses, Leader Learning Experiences®, live and recorded sessions, webinars, workshops, facilitation guidance, downloadable workbooks, and related materials, as described on the applicable offering or order page.

LearnWorlds is a third-party learning management system. By enrolling, you also agree to comply with LearnWorlds’ applicable Terms of Service. POVC is responsible for program content; LearnWorlds is responsible for platform functionality. POVC is not liable for platform outages, technical issues, or changes to platform features that are outside our control.

1.3Enrollment

Enrollment is confirmed upon receipt of full payment (or an approved payment arrangement) and creation of your learner account. Access to course content is granted upon enrollment confirmation. Some cohorts or program tiers may have limited availability; enrollment is on a first-confirmed basis.

1.4Program Changes

We continually refine our content to reflect current evidence-based practice and organizational trends. POVC reserves the right to update, revise, or enhance course content at any time. Material changes that affect the core scope of an enrolled course will be communicated to active participants in advance.

2Participant Conduct and Eligibility

2.1Eligibility

The Leader Café Club® is designed for working professionals in leadership roles, or actively preparing for leadership responsibility. By enrolling, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2.2Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Each enrollment is for individual use only and is non-transferable unless expressly authorized in writing by POVC. Please do not share your login credentials, call-in numbers, passwords, or protected links with anyone outside the program; doing so may result in removal from The Club.

2.3Community Standards

The Leader Café Club® fosters a high-trust learning environment. Participants agree to engage with integrity, to treat fellow participants and facilitators with respect, and to uphold the professional standards consistent with the program’s values. POVC reserves the right to remove any participant whose conduct is disruptive, disrespectful, discriminatory, or otherwise incompatible with the program’s learning environment. Where removal is for cause, fees paid are non-refundable.

3Fees and Payment

3.1Pricing

Course and program fees are listed at the time of enrollment and are stated in U.S. dollars. Depending on the offering, a fee may be a one-time payment, a subscription, or another recurring arrangement, as shown on your order page. POVC reserves the right to change pricing at any time; price changes do not apply retroactively to confirmed enrollments.

3.2Payment Processing

Payments are processed through the LearnWorlds platform and its integrated payment processors. POVC does not store payment card information. By completing a transaction, you also agree to the terms of the applicable payment processor. We ask that you not initiate a chargeback or payment dispute for a transaction you authorized; if a billing concern arises, please contact us first at Concierge@TheLeaderCafe.club so we can resolve it directly.

3.3Payment Plans

Where a payment plan is offered, the full enrollment fee is committed upon initiation of the plan. Missed scheduled payments may result in suspension of access until the balance is resolved. Accounts more than thirty (30) days in arrears may be referred for collection.

4Access and Course Completion

4.1Course Access Period

Unless otherwise specified at enrollment, self-paced course access is provided for twelve (12) months from the date of enrollment. POVC may offer access extensions at its discretion. Access periods are not paused due to participant inactivity.

4.2No Guarantee of Specific Outcomes

Leadership growth depends on individual engagement, effort, and application. POVC does not guarantee that participation in The Leader Café Club® will result in specific professional outcomes, promotions, or performance results. The program is designed to support your development; the results you pursue remain yours to achieve.

4.3Certificates

Where certificates of completion are offered, they are issued upon satisfactory completion of the applicable course requirements. Certificates represent program completion and are not academic credentials or professional licensure.

5Refund Policy

POVC makes no representations or warranties as to specific outcomes or results. Purchases are non-refundable but may, at our discretion, be transferred on a case-by-case basis. We are committed to helping participants achieve the growth in which they have invested. Any refund request must be made in writing to Concierge@TheLeaderCafe.club and include a description of the reason for the request within sixty (60) days of the initial receipt. Discontinuing participation does not relieve you of any outstanding payment obligation, and choosing not to log in or access the program does not, by itself, entitle you to a refund.

6Intellectual Property

6.1Ownership of Content

All course materials, frameworks, videos, workbooks, assessments, exercises, marks, and other content available through The Leader Café Club® are the exclusive intellectual property of POVC Group Inc., protected by U.S. and international copyright and intellectual property laws. This includes, without limitation, The Café Method™, The Solo Set™, TLCC Ensemble Sessions™, the Leader Learning Experience® (LLE) framework, The Leader Café Club®, and all associated frameworks and materials.

6.2Permitted Use

Upon enrollment, you are granted a limited, personal, non-exclusive, non-transferable license to access and use course materials for your own professional development. You may not reproduce, distribute, share, publish, sell, sublicense, or create derivative works from any course content without our prior written consent. Nothing in your access grants any license or right to use POVC’s trademarks, logos, or service marks.

6.3Prohibited Uses

The following are expressly prohibited:

• Sharing, recording, or distributing course content or login credentials;
• Using course content to develop competing programs or training materials;
• Presenting POVC frameworks or methodologies as your own in commercial contexts;
• Screen-capturing, downloading, or archiving course videos without written consent.

6.4Data Scraping Prohibited

Data scraping or data mining of any kind from our website, platform, communities, or online forums is strictly prohibited. Copying, harvesting, or extracting data, information, or content by automated means is a violation of these Terms and may result in immediate removal from the program, without refund.

7Privacy

Your privacy matters to us. The collection, use, and protection of your personal information is governed by The Leader Café Club® Privacy Policy, which is incorporated into these Terms by reference. By enrolling, you agree to the Privacy Policy, available at TheLeaderCafe.club or by contacting Concierge@TheLeaderCafe.club. LearnWorlds, as our platform provider, also processes certain data in connection with your account and course activity; please review LearnWorlds’ Privacy Policy for details on how they handle your data.

8Disclaimers and Limitation of Liability

8.1Educational Purpose; No Clinical Services

The Leader Café Club® provides professional development education. It does not provide psychotherapy, counseling, or clinical mental-health services, and no therapist–patient relationship is created through enrollment or participation. The program’s content is advisory and supportive; you bear sole responsibility for how you apply it in your professional and personal life, and you are always free to decline any suggestion offered.

8.2Limitation of Liability

To the maximum extent permitted by applicable law, POVC’s total liability for any claim arising from your enrollment or participation in The Leader Café Club® shall not exceed the total fees you paid for the specific course giving rise to the claim. POVC shall not be liable for indirect, incidental, consequential, special, or punitive damages, even if advised of the possibility of such damages.

8.3Platform Availability

POVC does not warrant uninterrupted access to LearnWorlds or any third-party platform, and is not responsible for data loss, technical failures, or service interruptions attributable to the platform provider or to circumstances beyond our reasonable control.

8.4Force Majeure

Neither party will be liable for any delay or failure to perform caused by events beyond its reasonable control, including fire, flood, natural disaster, public health emergency, war, civil unrest, governmental action, labor disruption, or failures of carriers, utilities, or service providers. Performance will be extended for the duration of the event; this does not, however, excuse you from sums already owed. If such an event continues beyond thirty (30) days, either party may terminate this Agreement.

8.5Indemnification

You agree to indemnify and hold harmless POVC and its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, or any content you post that causes POVC to be liable to a third party.

9Termination of Access

9.1By POVC

POVC reserves the right to suspend or terminate a participant’s access to The Club for violation of these Terms, non-payment, or conduct incompatible with the program’s standards. Where termination is for cause, no refund of fees paid will be issued.

9.2By Participant

You may discontinue participation at any time. Refund eligibility is governed by Section 5. Discontinuing participation does not relieve you of any outstanding payment obligation.

10Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. We believe most concerns are best resolved through direct, good-faith conversation. Accordingly, any dispute arising out of or relating to your enrollment or these Terms shall first be submitted to good-faith negotiation between the parties, and then, if unresolved, to non-binding mediation before a mutually selected neutral mediator in Riverside County, California (Coachella Valley). If the matter remains unresolved after mediation, it shall be heard in the state or federal courts located in Riverside County, California, to whose jurisdiction you consent. Nothing in this section prevents POVC from seeking injunctive relief to protect its intellectual property.

11General Provisions

11.1Entire Agreement

These Terms, together with the Privacy Policy and any applicable order page, constitute the entire agreement between you and POVC regarding your participation in The Club, and supersede any prior understandings on the subject.

11.2Amendments

POVC may update these Terms from time to time. Material changes will be communicated to enrolled participants by email to the address on file. Continued access following notice of updated Terms constitutes acceptance.

11.3Assignment

You may not assign these Terms without our prior written consent. POVC may assign or transfer its rights and obligations under these Terms in whole or in part.

11.4Waiver

A party’s failure to enforce any provision of these Terms is not a waiver of its right to enforce that or any other provision later.

11.5Severability

If any provision of these Terms is found unenforceable, that provision will be limited or replaced to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

11.6Independent Contractor

Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and POVC.
